1. ACCEPTANCE OF TERMS
By accessing or using the website located at www.nauticaautomations.com (the "Site") or any services provided by Nautica Automations LLC, a Florida limited liability company ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Site or services.

Nautica Automations LLC provides AI automation consulting and implementation services ("Services"). The specific scope of Services will be defined in separate agreements or statements of work with each client.
3. ELIGIBILITY
Our Services are intended for business use. By using our Services, you represent and warrant that:
You are at least 18 years of age
You have the legal capacity to enter into binding contracts
You are not prohibited from receiving services under the laws of the United States or any other applicable jurisdiction
4. CLIENT OBLIGATIONS
When engaging our Services, you agree to:
Provide accurate and complete information
Cooperate with reasonable requests for information necessary to perform the Services
Make timely payments as agreed
Not use our Services for any illegal or unauthorized purpose
Comply with all applicable laws and regulations
5. PAYMENT TERMS
Payment terms will be established on a case-by-case basis as agreed between the parties
All payments are due according to the terms specified in your service agreement
We utilize third-party payment processors to handle payment transactions
All fees are non-refundable unless otherwise agreed in writing
6. REFUND POLICY
All sales are final and non-refundable. Exceptions may be made at the sole discretion of the Company on a case-by-case basis.
7. INTELLECTUAL PROPERTY
All content on our Site, including text, graphics, logos, and software, is the property of Nautica Automations LLC or its licensors
Any work product created as part of our Services will be governed by the intellectual property provisions in your specific service agreement
8. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship.
9. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, NAUTICA AUTOMATIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Nautica Automations LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.
12. SMS/TEXT MESSAGING
If you provide your phone number, you may receive SMS/text messages from us regarding your service inquiries or appointments. Message and data rates may apply. You can opt out at any time by replying STOP to any message.
13. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Florida.
14. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our Site with a new "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms. We will provide at least thirty (30) days' notice for any material changes that significantly affect your rights.
15. TERMINATION
Either party may terminate the business relationship at any time. Upon termination, any outstanding payment obligations shall become immediately due and payable.
16. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
17. ENTIRE AGREEMENT
These Terms, together with any separate service agreements, constitute the entire agreement between you and Nautica Automations LLC regarding the use of our Site and Services.
